1) Do I own the inventions and designs generated during my consulting session?
Yes! Your payment constitutes fair compensation on a Work For Hire basis. SOLID Development Corp assigns all Intellectual Property (IP) for your project to you and releases all claims to ownership of IP specific to your project. SOLID Development Corp does not guarantee that the designs are patentable. SOLID Development Corp does not guarantee that the designs created for you on a project do not infringe on existing IP. Legal opinions regarding infringement must be sought from a registered patent attorney.
2) Is my project kept confidential and for how long?
Yes! The details of your project will be kept confidential for a period of 3 years. In addition, any documentation generated for your project will be retained for a period of 1 years and then destroyed unless you give special instructions.
3) What are my payment options?
We accept credit card payments. All major credit cards are accepted. Projects lasting more than 16 hours are eligible for credit terms pending an approved credit application.
4) What happens if the engineer does not immediately have the answer to my question?
Our engineer will first speak with you to gather as much information as possible to fully define the problem that is being solved. After the problem is fully defined, our engineer will work on a solution either live on the phone, or offline and schedule a follow-up call. If your project requires a detailed proposal, our engineer will schedule a follow-up call to review the proposal with you.
5) Who are Engineer A Minute engineers?
We are degreed Mechanical Engineers, Industrial Designers and Market Researchers each with product design experience ranging from 10 years to 30 years. We have designed both mechanical and electromechanical parts and assemblies for new products in the following industries: housewares, medical equipment, consumer power tool, bicycles, coffee, switches, ink stamping and more. The skill to design these parts crosses over to almost every other industry.
6) What does your service agreement entail?
Design Services (“Services”) are mechanical and industrial design support for new or existing products. This includes solving product design problems, conceptual design, making a product look attractive, computer aided design, mechanism design, user interface, and material selection. Services also include facilitating connections between the party paying for Services (“Client”) and other parties.
Payment for Services constitutes fair compensation on a Work For Hire basis. SOLID Development Corp assigns all Intellectual Property (IP) generated while performing Services on a Client project to the Client and releases all claims to ownership of IP specific to your project.
The details of all Client projects will be kept confidential for a period of 3 years. Confidential information includes Client data, business practices, product plans, products, materials, techniques, trade secrets, Know-How and other confidential or proprietary information (“Confidential Information”). Due to the short term nature of Services offered to a wide variety of industries, SOLID Development Corp does not retain an interest in any past or present project and therefore future projects that are related to past projects are not considered Conflicts of Interest. Confidential Information on past and present projects will remain confidential at all times during the confidentiality period.
Any documentation generated for a Client project will be stored for a period of 1 year and then destroyed unless the Client provides special instructions.
Limitation of Liability
SOLID Development Corp is not responsible for any and all actions, causes of action, lawsuits, claims and demands which the Client now has or may hereafter have, arising out of or in any way relating to any and all injuries and damages of any and every kind, to both person and property, and also any and all injuries and damages that may develop in the future, as a result of or in any way relating to evaluation and use of Services by the Client. This also includes loss or damage resulting from late delivery of Services.
Since the Services are based on off-site and sometimes limited information, it is not possible to eliminate all risks involved in use or manufacture of the products designed. Client agrees, to the fullest extent provided by law, that our liability for all claims, losses, costs, damages of any nature whatsoever or claims expenses from any cause or causes, including attorneys’ fees and costs and expert witness fees and costs, so that the total aggregate liability of the engineer to the client shall not exceed amount of the fee paid for the Services. This limitation shall apply regardless of the cause of action or the legal theory pled or asserted specifically including, but not limited to, negligence. This is a material inducement to enter into this agreement.
Services Not Rendered
SOLID Development Corp is not a “Professional Engineering” Service. We do not work on projects that relate to public welfare, utilities, structures, bridges, factories and buildings.
Payment for Services
Services have a 30 minute minimum duration. Payment for Services is made by either a valid credit card or by purchase order for qualifying Clients. Credit card payment for Services are processed at the end of business day for Services rendered. Credit terms are available for projects lasting longer than 16 hours.
Governing Law and Disputes
This Agreement shall be governed by and construed and enforced in accordance with the substantive laws of the State of Illinois. Any claim or controversy arising out of or related to this Agreement shall be settled by arbitration in the City of Chicago by one arbitrator pursuant to the rules of the American Arbitration Association then in effect. Any judgment on an award rendered may be entered in any state or federal court having jurisdiction. The parties hereby submit themselves to jurisdiction in the state and federal courts of the State of Illinois.
Completeness and Acceptance of Service Agreement
This Service Agreement constitutes the entire agreement of the parties with respect to its subject matter and may not be modified in any way except by written agreement signed by both parties. There are no other agreements either express or implied with regard to this subject matter. Client’s supply of credit card and other billing information before Services are rendered constitutes acceptance of this agreement.
